Terms for Retail at Mirra by Sustainable India
  1. Parties: This Seller Agreement ("Agreement") is made between Lapurete Sustainable Private Limited ("LSPL"), located at Village: Funda, Tehsil: Patan, Dist: Durg CG 491111, and the Seller, a registered business or individual at [Seller Address].
  2. Purpose: This Agreement governs the terms under which the Seller lists, sells, and delivers products on LSPL’s platform.
  3. Promotional Activities:
  4. 3.1 LSPL will promote products through various means, including links and co-branded pages with strategic partners.

    3.2 LSPL provides the platform and support services for selling products.

  5. Seller Registration & Obligations:
  6. 4.1 The Seller must provide accurate business information for registration.

    4.2 The Seller must have a valid GSTIN.

    4.3 The Seller is responsible for accurate product listings, including descriptions, prices, and images.

    4.4 The Seller must ensure product quality and timely delivery.

    4.5 The Seller must comply with all applicable laws, including consumer protection and tax laws.

    4.6 The Seller is responsible for packaging according to LSPL’s guidelines.

  7. Commission & Payment Terms:
  8. 5.1 The Seller can choose one of two commission options:

    a) 20% commission excluding GST and TCS per sale, or

    b) 30% commission including GST and TCS.

    5.2 Payments will be processed monthly after deducting applicable fees, commissions, GST, and TCS.

    5.3 The Seller bears all taxes, duties, and charges related to sales.

    If the Seller lacks a GST number, they must contact LSPL for support.

  9. Order Fulfillment & Shipping:
  10. 6.1 The Seller must process and ship orders promptly.

    6.2 Third-party logistics hired by LSPL will pick up products from Seller premises.

    6.3 The Seller is responsible for product packaging and ensuring safe delivery.

  11. Returns & Refunds:
  12. 7.1 The Seller must comply with the Platform’s return and refund policies.

    7.2 Refunds or replacements must be processed for defective or incorrect products.

    7.3 Customers have 15 calendar days from receipt to request a return.

    7.4 Eligibility for returns requires items to be unused, in original packaging, and accompanied by proof of purchase.

    7.5 Non-returnable items include gift cards, downloadable software, personalized/customized items, perishable goods, and used products.

    7.6 Customers must contact support@sustainableindia.org to initiate returns. Return shipping costs are the customer’s responsibility.

  13. Intellectual Property Rights:
  14. 8.1 The Seller grants LSPL a non-exclusive right to use brand names, logos, and product images for promotion.

    8.2 The Seller warrants that product listings do not infringe third-party intellectual property rights.

  15. Termination & Suspension:
  16. 9.1 Either party may terminate the Agreement with 30 days’ written notice.

    9.2 LSPL may suspend or terminate the Seller’s account for policy violations, fraud, or poor service.

    9.3 After termination, the Seller must not use LSPL’s brand. Violation may result in penalties and legal action.

  17. Liability & Indemnity:
  18. 10.1 The Seller indemnifies LSPL against claims or damages from non-compliance, defective products, or third-party claims.

    10.2 LSPL is not liable for indirect or consequential damages related to the Seller’s business.

  19. Governing Law & Dispute Resolution:
  20. 11.1 This Agreement is governed by the laws of Durg (C.G.), India.

    11.2 Disputes will be resolved by arbitration in Durg courts under Indian law.

  21. Confidential Material
  22. 12.1 Confidential information shared between parties remains the sole property of the disclosing party and must only be used to fulfill this Agreement.

  23. Miscellaneous
  24. 13.1 This Agreement represents the entire understanding between the parties.

Return Policy Summary
  • Returns accepted within 15 calendar days from delivery.
  • Items must be unused, in original packaging, with proof of purchase.
  • Non-returnable items include gift cards, digital products, personalized/customized items, perishable or used goods.
  • To return an item, contact support@sustainableindia.org with order details for instructions.
  • Customers bear return shipping costs.
